Terms of Use

These Terms of Use (“Terms”) govern your use of meetstarters.com, the Starters application, and related services operated by OpsAssembly LLC DBA Starters (“Starters,” “we,” “us,” or “our”).

By using Starters, you agree to these Terms.

The Starters service

Starters helps companies connect with experienced startup operators for advisory work, focused projects, and fractional leadership.

Starters may help evaluate needs, recommend potential matches, facilitate introductions, and provide tools for proposals and relationship records. Starters does not guarantee that a match will be available, that users will enter into a relationship, or that any particular business result will be achieved.

Eligibility and accounts

You must be at least 18 years old and legally able to enter into a binding agreement.

You are responsible for providing accurate information, protecting your login credentials, and notifying us of suspected unauthorized account use. You may not use another person’s account without permission.

Relationships between users

Companies and Starters decide independently whether to work together. Unless expressly stated in a separate written agreement, Starters:

• Is not a party to their working relationship.
• Does not employ or supervise Starters.
• Does not set the commercial terms of their relationship.
• Is not responsible for either party’s conduct or performance.

Each party is responsible for evaluating the other, agreeing on scope, compensation, confidentiality, intellectual property, and other working terms, and complying with applicable laws.

Any separate Starter participation, fee, or other written agreement remains in effect. If that agreement conflicts with these Terms on a matter it specifically governs, the separate agreement controls.

User responsibilities

You agree not to:

• Provide false, misleading, or unlawful information.
• Violate another person’s privacy, confidentiality, or intellectual-property rights.
• Attempt to access accounts, systems, or data without authorization.
• Interfere with the operation or security of the service.
• Scrape, copy, or use profile or opportunity information outside the intended purpose of Starters.
• Use Starters for unlawful, fraudulent, abusive, or discriminatory activity.

Company Briefs may be shared with qualified operators for matching. Unless the parties separately agree otherwise, submitting information through Starters does not create a nondisclosure agreement.

Your content

You retain ownership of information and materials you submit.

You give Starters a limited, nonexclusive license to host, process, reproduce, and share that content as reasonably necessary to operate the service, make matches, facilitate relationships, and display information you have authorized for public use.

You represent that you have the right to provide the content you submit.

Starters content

The Starters name, logo, software, site design, and original content are owned by Starters or its licensors. You may not copy, modify, distribute, or commercially exploit them without permission.

Suspension and termination

You may stop using Starters at any time.

We may restrict or terminate access when we reasonably believe a user has violated these Terms, created risk for other users, failed to meet applicable participation requirements, or threatened the security or integrity of the service.

Provisions that should reasonably survive termination—including payment obligations, ownership, disclaimers, and liability limitations—will continue to apply.

Disclaimers

Starters is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a for a particular purpose, and noninfringement.

Starters does not provide legal, tax, investment, employment, or financial advice. You are responsible for obtaining appropriate professional advice and making your own business decisions.

Limitation of liability

To the fullest extent permitted by law, Starters and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.

Our total liability arising from the service will not exceed the greater of $100 or the amount you paid directly to Starters during the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

Indemnification

To the extent permitted by law, you agree to indemnify and hold Starters harmless from third-party claims arising from your content, your misuse of the service, your violation of these Terms, or your working relationship with another user.

Changes

We may update these Terms periodically. We will post the revised Terms with a new effective date. Continued use after the revised Terms take effect constitutes acceptance of the changes.

Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any dispute not otherwise resolved will be brought in the state or federal courts located in Wake County, North Carolina, and each party consents to their jurisdiction.
